Terms of Service

1. Definitions

• Rightsholder / Seller — sole proprietor R. I. Badreev (OGRNIP 326169000104610); full details in section 13.
• App — the “ScanLex” computer program for Windows (document recognition with export to Word, Excel, plain text and PDF), including all its components and updates.
• Online service — the web recognition service at scanlex.ru/online.
• Licence — a non-exclusive right to use the App on the terms of this agreement.
• Online access — paid access to the Online service for the period paid for.
• User — a person using the App and/or the Online service.

2. Subject of the agreement

The Rightsholder grants the User the right to use the App (under a Licence) and/or access to the Online service, and the User undertakes to use them in accordance with these terms and to pay for the paid plans they choose. The agreement is deemed concluded (the offer accepted) from the moment the User starts using the App or the Online service, or from the moment of payment — whichever happens first.

3. Licence for the Windows app

• Trial period. The App may be provided with a free trial period for evaluation. Once it ends, a Licence must be purchased to continue working.
• Indefinite term. A purchased Licence is valid indefinitely for the version of the App current at the time of purchase and for compatible updates within the same major release.
• Device binding. One Licence activates the App on one computer. Activation uses an irreversible technical hardware fingerprint (see the Privacy Policy).
• Offline operation. Recognition in the App runs locally; the contents of your documents are not transmitted to the Rightsholder.

4. Online service: free and paid access

• Free use. Basic recognition in the Online service is available free of charge and without registration, subject to technical limits (for example, on the number of pages in one job and on queue priority), which the Rightsholder may change.
• Paid online access. Sold for a period measured in days. During the paid period the number of documents and pages processed is not limited. The Rightsholder may later introduce reasonable volume limits for new access periods, giving notice on the website; such changes do not apply to a period already paid for.
• The access period is counted in calendar days from the moment access is activated after payment and is not paused on days when the User does not use the service.
• File storage. Uploaded files and results are deleted automatically on a schedule (see the Privacy Policy).
• AI text improvement (optional). After recognition, the Online service may offer a voluntary feature that improves the recognized text with AI. When you start it, the recognized text is sent to the third-party service OpenAI (USA) for processing; the feature is optional and is not used unless you request it. 5. Price and payment

• The price of an App Licence and the price/duration of Online access are stated on the corresponding pages of the website at the time of payment and form an integral part of this offer.
• Payment is made by the methods available on the payment page. The payment obligation is deemed fulfilled once the funds reach the Rightsholder.
• All prices are stated in Russian roubles (RUB). VAT is not charged (a special tax regime for sole proprietors applies).

6. Delivery of the licence and access

• After paying for a Licence, the User receives an App activation key (code) at the email address given during payment, or by another method indicated on the website.
• After paying for Online access, access is activated for the period paid for, by the method indicated on the payment page.
• The Rightsholder’s obligation is deemed properly fulfilled at the moment the Licence key is provided or Online access is activated.

7. Refunds

The App and Online access are digital goods/services. Refunds are made in accordance with the legislation of the Russian Federation. Because the Licence key and access are provided immediately after payment, a refund for a key that has already been issued (activated) or for an access period that has already begun is generally not made, except where the App or the Online service turned out to be inoperable through the fault of the Rightsholder and the fault was not remedied within a reasonable time. 8. Intellectual property

Exclusive rights to the App, the Online service, their components, interfaces and materials belong to the Rightsholder. A Licence does not transfer exclusive rights to the User. The User may not decompile, disassemble, modify, circumvent technical protection, extract algorithms, copy, distribute, resell or rent out the App or its parts, except where expressly permitted by law.

The App and the Online service use third-party open-source components, the rights to which belong to their respective holders and which are provided under their own licences.

9. User obligations and restrictions

• The User undertakes to use the App and the Online service for lawful purposes and not to infringe the rights of third parties.
• The User is solely responsible for having a lawful basis to process documents containing the personal data of third parties.
• Attempts to disrupt the service, circumvent limits, automated abuse and other actions harmful to the Rightsholder or to other users are prohibited.

10. Limitation of liability

The App and the Online service are provided “as is”. Text recognition is performed automatically and may contain errors; the Rightsholder does not guarantee one-hundred-percent accuracy or fitness of the result for any particular purpose. The User must check the result before relying on it. The Rightsholder is not liable for indirect losses, lost profit, or the consequences of using recognition results. The Rightsholder’s aggregate liability is limited to the amount actually paid by the User for the product concerned.

11. Personal data

Data processing is described in the Privacy Policy, which forms an integral part of this agreement. By accepting this offer you agree to that Policy.

12. Changes to the terms

The Rightsholder may change this agreement and its prices. The current revision is always published at this address; the revision date is shown at the top of the document. Transactions already concluded (licences and access periods already paid for) are governed by the terms in force at the time of payment. The applicable law is the law of the Russian Federation.
